Use of Our Service

Thrifty Wrench connects consumers with automotive repair shops and services. Thrifty Wrench grants you permission to use the Service as set forth in this Agreement, provided that: (i) you will not copy, distribute, or disclose any part of the Service in any medium; (ii) you will not alter or modify any part of the Service other than as may be reasonably necessary to use the Service for its intended purpose; and (iii) you will otherwise comply with the terms and conditions of this Agreement. To access the Service you will need to register with Thrifty Wrench and create an account. Your account gives you access to the services and functionality that we may establish and maintain from time to time and in our sole discretion. You may never use another Member’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Thrifty Wrench immediately of any breach of security or unauthorized use of your account. Although Thrifty Wrench will not be liable for your losses caused by any unauthorized use of your account, you shall be liable for the losses of Thrifty Wrench or others due to such unauthorized use. You may use your Account Settings to control your Profile and how other. By providing Thrifty Wrench your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. You may opt out by send an email to contact@ThrifyWrench.com. We may also use your email address to send you other messages, including changes to features of the Service and special offers. Opting out may prevent you from receiving email messages regarding updates, improvements, or offers. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc., that accesses the Service in a manner that sends more request messages to the Thrifty Wrench servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser. You agree not to collect or harvest any personally identifiable information, including account names, from the Service or to use the communication systems provided by the Service for any commercial solicitation purposes. Thrifty Wrench may permanently or temporarily terminate, suspend, or otherwise refuse to permit your access to the Service without notice and liability, if, in Thrifty Wrench’s sole determination, you violate any of the Agreement, including the following prohibited actions: (i) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Service; (ii) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (iii) uploading invalid data, viruses, worms, or other software agents through the Service; (iv) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (v) interfering with the proper working of the Service; or, (vi) bypassing the measures we may use to prevent or restrict access to the Service. Upon termination for any reason, you continue to be bound by this Agreement.

Our Proprietary Rights

The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and all Intellectual Property Rights related thereto, are the exclusive property of Thrifty Wrench and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any materials or content accessible on the Service. Use of the Thrifty Wrench Content or materials on the Service for any purpose not expressly permitted by this Agreement is strictly prohibited. You may choose to or we may invite you to submit comments or ideas about the Service, including without limitation about how to improve the Service or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Thrifty Wrench under any fiduciary or other obligation, that we are free to disclose the Ideas on a non-confidential basis to anyone or otherwise use the Ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Thrifty Wrench does not waive any rights to use similar or related ideas previously known to Thrifty Wrench, or developed by its employees, or obtained from sources other than you. By utilizing or subscribing to our service, you agree to Thrifty Wrench, LLC’s End User License Agreement in regards to all software (including all software code).

Eligibility

This Service is intended solely for Users who are thirteen (13) years of age or older, and any registration, use or access to the Service by anyone under 13 is unauthorized, unlicensed, and in violation of this Agreement. Thrifty Wrench may terminate your account, delete any content or information that you have posted on the Service, and/or prohibit you from using or accessing the Service (or any portion, aspect or feature of the Service) for any reason, at any time in its sole discretion, with or without notice, including without limitation if it believes that you are under 13. If you are under 18 years of age you may use the Service only if you either are an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.

Security

We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

DMCA Notice

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify Thrifty Wrench’s copyright agent, as set forth in the Digital Millennium Copyright Act of 1998 ("DMCA"). Third-Party Websites, Advertisers or Services

Thrifty Wrench works with 3rd-party repair shops that are not owned or controlled by Thrifty Wrench. Thrifty Wrench has no control over, and assumes no responsibility for, privacy policies, or practices of any third party services. Thrifty Wrench does not warrant and does not guarantee that any third parties are legally or properly certified or registered with or by any government or trade organization. If you enter into an agreement with a third party repair shop from Thrifty Wrench, you do so at your own risk, and you understand that this Agreement does not apply to repair shops. You expressly relieve Thrifty Wrench from any and all liability arising from your use of any third-party services or third party owned repair shops. Additionally, your dealings with or participation in promotions of advertisers found on Thrifty Wrench, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such repair shop. You agree that Thrifty Wrench shall not be responsible for any loss or damage of any sort relating to your dealings with such repair shop.

Indemnity

You agree to defend, indemnify and hold harmless Thrifty Wrench and its subsidiaries, agents, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service, including any data or work transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation, your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy, publicity rights or Intellectual Property Rights; (iv) your violation of any law, rule or regulation of the United States or any other country; (v) any claim or damages that arise as a result of any of your User Content or any that are submitted via your account; or (vi) any other party’s access and use of the Service with your unique username, password or other appropriate security code.

No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, THRIFTYWRENCH, ITS SUBSIDIARIES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.

THRIFTY WRENCH DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE THRIFTYWRENCH SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND THRIFTYWRENCH WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THRIFTY WRENCH, ITS AFFILIATES, DIRECTORS, EMPLOYEES OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL THRIFTYWRENCH L BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRIFTY WRENCH ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL THRIFTYWRENCH, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO THRIFTYWRENCH HEREUNDER.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF THRIFTYWRENCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

The Service is controlled and operated from its facilities in the United States. Thrifty Wrench makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with local law, including but not limited to export and import regulations. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in the U.S.

Assignment

This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Thrifty Wrench without restriction.

Miscellaneous

A. Governing Law. You agree that: (i) the Service shall be deemed solely based in Wisconsin; and (ii) the Service shall be deemed a passive one that does not give rise to personal jurisdiction over Thrifty Wrench, either specific or general, in jurisdictions other than Wisconsin. This Agreement shall be governed by the internal substantive laws of the State of Wisconsin, without respect to its conflict of laws principles. Any claim or dispute between you and Thrifty Wrench that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in St. Croix County, Wisconsin.

B. Notification Procedures. Thrifty Wrench may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through conspicuous posting of such notice on our website, as determined by Thrifty Wrench in our sole discretion. Thrifty Wrench reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement.

C. Mediation and Arbitration. All disputes arising out of or in connections with, or in the application of, these Terms of Service or services provided by Thrifty Wrench shall first be subject to good faith mediation conducted by a mutually selected mediator. The parties will share the costs of the mediator equally. Each party agrees to cooperate fully and fairly with the mediator and will attempt to reach a mutually satisfactory compromise to the dispute. If the dispute is not resolved within thirty (30) days after it is referred to the mediator, the parties agree that the dispute shall be finally resolved through arbitration under the rules of the Federal Arbitration Act. The arbitrator’s decision shall be final and legally binding and judgment may be entered thereon. The arbitration shall occur within the County of St. Croix, State of Wisconsin. The arbitrator shall be mutually selected. Each party shall be responsible for its share of the arbitration fees in accordance with all applicable rules of arbitration and the Federal Arbitration Act. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other party is entitled to costs of suit, including reasonable attorney’s fees

D. Entire Agreement/Severability. This Agreement, together with any other legal notices and agreements published by Thrifty Wrench via the Service, shall constitute the entire agreement between you and Thrifty Wrench concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.

E. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Thrifty Wrench failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

Your User Submissions and Conduct

1. As a Thrifty Wrench account holder you may submit video, audio, text, and photographic content, collectively referred to as "User Submissions." You understand that whether or not such User Submissions are published, Thrifty Wrench does not guarantee any confidentiality with respect to any User Submissions.

2. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize Thrifty Wrench to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.

3. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to Thrifty Wrench, you hereby grant Thrifty Wrench a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Thrifty Wrench Website and Thrifty Wrench's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Thrifty Wrench Website (and derivative works thereof) in any media formats and through any media channels. You also grant Thrifty Wrench a license to add it’s logo to all User Submitted content. You also hereby grant each user of the Thrifty Wrench Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The above licenses granted by you in User Videos terminate within a commercially reasonable time after you remove or delete your User Submissions from the Thrifty Wrench Website. You understand and agree, however, that Thrifty Wrench may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Comments are perpetual and irrevocable.

4. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Thrifty Wrench all of the license rights granted herein.

5. You further agree that you will not, in connection with User Submissions, submit material that is contrary to the Thrifty Wrench Community Guidelines, found at Thrifty Wrench Guidelines, which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations.

6. Thrifty Wrench does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Thrifty Wrench expressly disclaims any and all liability in connection with User Submissions. Thrifty Wrench does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and Thrifty Wrench will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Thrifty Wrench reserves the right to remove Content and User Submissions without prior notice.

7. You agree that Thrifty Wrench may remove or refuse to publish User Submitted Content that does comply with this Agreement. Thrifty Wrench will be the final authority in determining whether User Submitted Content complies with this Agreement.

Account Termination Policy

1. Thrifty Wrench will terminate a User's access to its Website if, under appropriate circumstances, they are determined to be a repeat infringer.

2. Thrifty Wrench reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Thrifty Wrench may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

3. Your membership account may be terminated by Thrifty Wrench or Member for any reason on not less than thirty (30) days written notice to the other party. Upon the expiration of the thirty (30) day notice period, Member shall no longer be a member and Thrifty Wrench will prorate and refund any remaining funds from an annual membership due actually paid and collected by Thrifty Wrench.

END-USER LICENSE AGREEMENT FOR THRIFTY WRENCH

IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL:

Thrifty Wrench, LLC’s End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Thrifty Wrench, LLC for the Thrifty Wrench, LLC software product identified above which may include associated software components, media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and Thrifty Wrench, LLC, (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE. The SOFTWARE PRODUCT is licensed as follows:

(a) Installation and Use. Thrifty Wrench, LLC grants you the right to install and use copies of the SOFTWARE PRODUCT on your computer or mobile device running a validly licensed copy of the operating system for which the SOFTWARE PRODUCT was designed.

(b) Backup Copies. You may not make copies of the SOFTWARE PRODUCT.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

(a) Maintenance of Copyright Notices. You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.

(b) Distribution. You may not distribute copies of the SOFTWARE PRODUCT to third parties.

(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

(d) Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.

(e) Support Services. Thrifty Wrench, LLC may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.

(f) Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.

3. TERMINATION

Without prejudice to any other rights, Thrifty Wrench, LLC may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT in your possession.

4. COPYRIGHT

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Thrifty Wrench, LLC or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Thrifty Wrench, LLC .

5. NO WARRANTIES

Thrifty Wrench, LLC expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. Thrifty Wrench, LLC does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the SOFTWARE PRODUCT. Thrifty Wrench, LLC makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Thrifty Wrench, LLC further expressly disclaims any warranty or representation to Authorized Users or to any third party.

6. LIMITATION OF LIABILITY

In no event shall Thrifty Wrench, LLC be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if Thrifty Wrench, LLC has been advised of the possibility of such damages. In no event will Thrifty Wrench, LLC be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Thrifty Wrench, LLC shall have no liability with respect to the content of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.

7. PAYMENT OF SUBSCRIPTION FEES

The license granted for use of the SOFTWARE PRODUCT is contingent upon timely payment of subscription fees as described on Thrifty Wrench, LLC’s website for the SOFTWARE PRODUCT and incorporated by reference herein this EULA.
